2.3 Please note that for any license plates you have registered, payment at a parking machine located on the premises is not possible.
‍

Activation for usage billing

3.1 When registering your user account, you must provide and verify a valid payment method in the billing details. Once registration is complete, you can enter up to the maximum number of authorized license plates specified in the Business Parking Portal. Cashless billing and payment for parking will then be handled automatically via your user account and chosen payment method, in accordance with Section 5.

3.2 By completing your registration, you authorize us to bill all parking sessions associated with the license plates you have provided. Please be aware that once a license plate is registered in the Business Parking Portal, any parking sessions on the premises involving that vehicle will be charged to your stored payment method.

3.3 Please note that for any license plates you have registered, payment at a parking machine located on the premises is not possible.
‍

4. Fixed-price tickets

4.1 If fixed-price tickets are offered in the Business Parking Portal, this does not constitute a legally binding offer to enter into a contract, but rather an invitation for you to submit a binding offer.

4.2 You submit a legally binding purchase offer for a selected fixed-price ticket by clicking the "Order and pay" button. You are bound by this offer for fourteen days from the time of booking. We reserve the right to reject your offer until it has been accepted.

4.3 The contract is only concluded once you receive our acceptance confirmation. Immediately after your booking is received, we will send a booking confirmation (payment receipt) to the email address you provided in the Business Parking Portal or during the payment process. This confirmation serves as documentation of your booking, fulfills our legal obligations, and acts as our formal acceptance of the contract.

4.4 Once your payment has been credited to our account, you will receive a confirmation email at the address stored in your Business Parking Portal profile or your customer data. Fixed-price tickets cannot be sent by post.

4.5 Unless otherwise stated in the Business Parking Portal, you are not entitled to a specific parking space. Your ticket simply grants you the right to use the parking area for the specified duration with a registered license plate.

Customer obligations:

5.1 You are responsible for ensuring compliance with these Terms and Conditions, including by any administrator you appoint.

5.2 Please be aware that providing accurate license plate information is essential for proper authorization and billing. You agree to indemnify us against any third-party claims or damages resulting from incorrect license plate entries. You can deactivate or change license plates yourself via the Business Parking Portal, though plates cannot be changed while a parking session is active.

5.3 Booking and communication are generally handled via automated emails. You must provide a valid email address when setting up your account to ensure you receive our messages. It is your responsibility to ensure that our emails are not blocked by spam filters or other technical settings.

5.4 You must not share your user account, password, or other access credentials with third parties, with the exception of your appointed administrator and authorized users. You are responsible for ensuring that paid services are only accessed through your account by the administrator and authorized users.

5.5 You agree to notify us immediately if you become aware or have reason to suspect that an unauthorized third party has gained access to your password or that your account is being used without authorization.

6. Prices, payment terms, and refunds:

6.1 The prices shown in the Business Parking Portal are gross prices, including the statutory German VAT.

6.2 For overstay charges, the fee is based on the prices valid at the time of the parking session, as displayed in the Business Parking Portal. These fees are calculated at the end of each session and charged monthly to your stored payment method. By using this service, you consent to these automated charges.

6.3 Fixed-term parking spaces are billed to the customer in advance and charged via the payment method provided by the customer. The customer hereby agrees to these charges.
‍

Liability:

7.1 The operator is liable to the customer for damages or compensation for wasted expenditure in all cases of contractual and non-contractual liability in the event of intent and gross negligence in accordance with statutory provisions.

7.2 In all other cases, the operator is only liable – unless otherwise stipulated in Section 6.3 – for the breach of a contractual obligation, the fulfillment of which is essential for the proper execution of the contract and on the observance of which the customer may regularly rely (so-called cardinal obligation), limited to the compensation of foreseeable and typical damage. This limitation of liability also applies to our vicarious agents. In all other cases, liability is excluded, subject to the provision in Section 6.3.

7.3 The operator's liability for damages resulting from injury to life, limb, or health and under the Product Liability Act remains unaffected by the above limitations and exclusions of liability.

The customer can view information on data protection at https://www.mh-parkservice.com/datenschutz/.

‍

9. Copyright:

The operator holds copyright to images, videos, and texts on the business parking portal or has usage rights for images, videos, and texts belonging to third parties. Any use of these images, videos, and texts by third parties therefore always requires prior inquiry with the operator.
‍

10. Place of Jurisdiction, Applicable Law, and Contract Language:

10.1 The contract based on these General Terms and Conditions is subject exclusively to the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. The contract language is German.

10.2 The exclusive place of jurisdiction for all disputes arising directly or indirectly from these General Terms and Conditions is the operator's registered office.

10.3 Should one or more provisions of these General Terms and Conditions be or become invalid or void, or contain a loophole, the validity of the remaining provisions shall remain unaffected. The parties undertake to replace the invalid or void provision with a valid provision that comes closest to what the parties intended according to the meaning of the invalid or void provision.

‍

11. Code of Conduct:

The operator has not subscribed to any codes of conduct as defined in Art. 246c No. 5 of the Introductory Act to the German Civil Code (EGBGB).

General Terms and Conditions of Business and Use of Mobility Hub Parkservice GmbH for the Use of the Business Parking Portal and the Procurement of Business Parking Services

Version: 1 July 2026

Mobility Hub Parkservice GmbH, legally represented by its Managing Director Volker Brockmeyer, Nördliche Münchner Straße 27a, 82031 Grünwald, Germany, Tel.: +49 (0) 89 2778299 51, info@mh-parkservice.de, hereinafter referred to as the "Operator", provides parking management services for parking lots and parking garages (each hereinafter a "Parking Facility") using a barrier-free digital parking management system based on automated license plate recognition upon entry and exit.

The following General Terms and Conditions of Business and Use ("GTC"), in the version valid at the time, apply exclusively to the use of the Operator's Business Parking Portal at business.mh-parkservice.com (hereinafter: the "Business Parking Portal") and to the sale and billing of parking services via this portal.

The Operator recommends that you print or save these GTC and any other legal or contractual documents related to your transaction. The Operator does not store the full text of the contract for every individual transaction.

1. Scope, Definitions, User Account, and Contact

1.1 Only entrepreneurs as defined by Section 14 of the German Civil Code (BGB) are eligible to use the Business Parking Portal and qualify as a "Customer" under these GTC (e.g., commercial tenants of business premises near a Parking Facility managed by the Operator). This includes any natural or legal person or partnership with legal capacity acting in the course of their commercial or self-employed professional activity when entering into a legal transaction.

1.2 These GTC apply to (a) the use of the Business Parking Portal by the Customer or by an administrator appointed by the Customer—who must have sufficient decision-making authority, full legal capacity, and the power to represent the Customer in all matters related to the portal (the "Administrator")—and (b) all contracts concluded between the Customer and the Operator for parking services offered via the portal or described in these GTC. Parking services include all products and services bookable through the Business Parking Portal or provided by the Operator under these GTC.

1.3 We expressly reject the inclusion of any of the Customer's own terms and conditions, unless otherwise agreed in writing.

1.4 As described in the Business Parking Portal, the Operator allows the Customer to:

(i) manage fixed parking quotas: The Customer can enter and manage authorized license plate numbers for automatic recognition and verification for parking spaces rented from the Operator or the Customer's landlord. The maximum number of license plates allowed is specified in the Business Parking Portal.

(ii) use additional parking spaces and manage excess usage: By paying an excess usage fee based on the current tariff in the Business Parking Portal, the Customer may allow vehicles with registered license plates to occupy more spaces than the Customer has rented ("Excess Usage"). The license plate recognition system automatically detects Excess Usage and calculates the fee according to Clause 5.2.

(iii) purchase fixed-price tickets: Where available in the Business Parking Portal, the Customer may purchase fixed-price tickets for a predetermined duration (e.g., weekly, monthly, or annual passes) for the Parking Facility, as described in the portal.

1.5 To use the Business Parking Portal, you must register and create a user account. You will receive an invitation email from your landlord or MHP. To register, the Administrator must provide the following details on behalf of the Customer: company name, Administrator's name, email address, street and house number, postal code, and city. A payment method must be stored to complete the registration.

1.6 To confirm registration, the Administrator will receive an activation link via email, which must be clicked to complete the process (the "double opt-in procedure").

1.7 All information provided must be accurate. If your details change, you must update them immediately in your user account settings. The Customer is responsible for ensuring that the stored payment method always has sufficient funds. If the Customer fails to meet these obligations, the Operator may charge for any resulting additional costs (e.g., registration office inquiries, returned direct debits, etc.).

1.8 You can contact the Operator by mail at Mobility Hub Parkservice GmbH, Nördliche Münchner Straße 27a, 82031 Grünwald, Germany, by phone at +49 (0) 89 2778299 51, or by email at info@mh-parkservice.de.

2. Activation for Excess Usage Billing

2.1 Upon registration, the Customer must store and verify a valid payment method in their billing details. Once registered, the Customer may enter up to the maximum number of license plates specified in the portal. Excess Usage will be billed automatically via the Customer's chosen payment method in accordance with Clause 5.

2.2 By completing registration, the Customer authorizes the Operator to bill for all instances of Excess Usage by vehicles with the registered license plates. The Customer acknowledges that once license plates are stored, any usage of the Parking Facility by these vehicles that exceeds the Customer's rented quota will be billed using the stored payment method.

2.3 Please note that for license plates stored in the portal, payment at any on-site pay stations at the Parking Facility is not possible.

3. Activation for Billing Usage

3.1 When registering a user account, the Customer must save and verify a valid payment method in their billing details. Once registration is complete, the Customer can enter up to the number of authorized license plates specified in the Business Parking Portal. Cashless billing and payment for parking are then handled automatically through the Customer's user account and their chosen payment method, as outlined in Clause 5.

3.2 Upon completing registration, the Customer authorizes the Operator to bill all parking sessions associated with the license plates they have provided. The Customer acknowledges that once a license plate is saved in the Business Parking Portal, any parking sessions at the facility involving a vehicle with that license plate will be billed using the Customer's stored payment method.

3.3 The Customer is advised that it is not possible to pay at any pay stations located at the parking facility for license plates stored by the Customer.

4. Fixed-Price Tickets

4.1 Any fixed-price tickets offered by the Operator in the Business Parking Portal do not constitute a legally binding offer to enter into a contract, but rather an invitation for the Customer to submit a binding offer (an invitatio ad offerendum).

4.2 The Customer submits a legally binding purchase offer by selecting a fixed-price ticket and clicking the "Order with obligation to pay" button. The Customer is bound by this offer for fourteen days from the time of booking. The Operator reserves the right to reject the Customer's offer at any time before it is accepted.

4.3 The contract is only concluded once the Customer receives the Operator's acceptance. Immediately after receiving the booking, the Operator will send a booking confirmation (payment receipt) to the email address provided by the Customer in the Business Parking Portal or during the payment process. This confirmation serves as documentation of the booking, fulfills the Operator's statutory obligations under Section 312i (1) sentence 1 no. 3 of the German Civil Code (BGB), and constitutes the Operator's acceptance of the contract.

4.4 Once the invoice amount has been credited to the Operator, the Customer will receive a confirmation email following a successful booking, sent to the address provided in the Business Parking Portal or already on file. Fixed-price tickets cannot be sent by post.

4.5 Unless otherwise specified in the Business Parking Portal, the Customer is not entitled to a specific parking space. The Customer is simply granted authorization to use the parking facility for the duration of the fixed-price ticket with a registered license plate.

5. Customer Obligations

5.1 The Customer is responsible for ensuring compliance with these GTC, including by any Administrator they appoint.

5.2 The Customer acknowledges that entering license plates correctly is essential for verifying authorization and billing parking sessions properly. The Customer agrees to indemnify the Operator against any third-party claims or damages resulting from the incorrect entry of a license plate. The Customer may independently deactivate or update license plates via the Business Parking Portal, though plates associated with active parking sessions cannot be changed.

5.3 Booking and communication are generally handled via email as part of an automated process. Therefore, when creating a user account, the Customer must provide a valid email address capable of receiving emails from the Operator. It is the Customer's responsibility to ensure that these emails are not blocked by spam filters or other technical measures.

5.4 The Customer must not share their user account, password, or other access credentials with third parties, except for the Administrator and users designated by the Administrator. The Customer must ensure that paid services are used through the account only by the Administrator and authorized users.

5.5 The Customer agrees to notify the Operator immediately if they become aware or suspect that an unauthorized third party has gained access to their password or that their account is being used without authorization.

6. Prices, Payment Terms, and Refunds

6.1 Prices listed in the Operator's Business Parking Portal are gross prices, meaning they include the statutory German value-added tax.

6.2 For excess usage, the fee owed for each parking session is determined by the prices in effect at that time, as displayed in the Business Parking Portal. This fee is charged upon completion of the parking session and collected monthly in arrears using the Customer's stored payment method. The Customer hereby consents to this collection.

6.3 Fees for permanently rented parking spaces are invoiced to the Customer in advance and collected via the Customer's stored payment method. The Customer hereby consents to this collection.

7. Liability

7.1 The Operator is liable to the Customer for damages or the reimbursement of wasted expenses in all cases of contractual and non-contractual liability in the event of intent or gross negligence, in accordance with statutory provisions.

7.2 In all other cases, the Operator is liable—unless otherwise specified in Clause 6.3—only for the breach of a contractual obligation that is essential for the proper performance of the contract and on which the Customer can regularly rely (a "cardinal obligation"). In such cases, liability is limited to foreseeable and typical damages. This limitation of liability also applies to our vicarious agents. In all other cases, liability is excluded, subject to the provision in Clause 6.3.

7.3 The Operator's liability for damages resulting from injury to life, body, or health, as well as liability under the German Product Liability Act (Produkthaftungsgesetz), remains unaffected by the aforementioned limitations and exclusions.

8. Data Protection

Information regarding data protection is available to the Customer at https://www.mh-parkservice.com/datenschutz/.

9. Copyright

The Operator owns the copyright to the images, films, and texts on the Business Parking Portal, or holds the rights to use images, films, and texts provided by third parties. Any use of these materials by third parties requires prior approval from the Operator.

10. Place of Jurisdiction, Applicable Law, and Contract Language

10.1 The contract governed by these GTC is subject exclusively to the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The contract language is German.

10.2 The exclusive place of jurisdiction for all disputes arising directly or indirectly from these GTC is the registered office of the Operator.

10.3 Should one or more provisions of these GTC be or become invalid, void, or contain a gap, the validity of the remaining provisions shall remain unaffected. The parties agree to replace any invalid or void provision with a valid one that most closely reflects the original intent and purpose of the parties.

11. Code of Conduct

The Operator has not subscribed to any codes of conduct as defined by Article 246c No. 5 of the Introductory Act to the German Civil Code (EGBGB).
